General terms and conditions for the use of Spect8

Section 1 Subject matter of the agreement, scope

  1. vAudience GmbH, represented by its managing director Dr. Toni Wagner, Friedrich-Bergius-Ring 15, 97076 Würzburg, hereinafter referred to as “vAudience”, offers users who are registered on their website spect8.com the ability to meet other users in a virtual location as part of an electronic fan community to participate in eSports and game streams.
  2. The general terms and conditions listed here apply exclusively. Conditions of the user that contradict or deviate from these terms and conditions will not be recognized unless vAudience has expressly agreed to them in advance in individual cases.



Section 2 Changes

vAudience reserves the right to change these general terms and conditions at any time without giving reasons. vAudience will inform the user about the change in the general terms and conditions at least four weeks before the changed terms and conditions come into effect and will forward them to the user. If the user does not object to the changed terms of use within 2 weeks of receiving the notification of change, the changed terms of use are deemed to have been accepted by the user. If the user objects to the changed terms of use in due time, vAudience is entitled to terminate the contract at the time the changed general terms and conditions come into effect or to continue the contract under the previous conditions.



Section 3 Registration

  1. In order to be able to use the services offered by vAudience, the user must first register.
  2. Registration is only possible with a Twitch account.
  3. The terms of use are deemed to have been accepted as soon as the user has completed the registration and thus the login.



Section 4 Use of Spect8

  1. By concluding a usage agreement, the user receives a limited license to use the services offered on Spect8, which are non-exclusive, non-transferable and non-sub-licensable and which can be revoked by vAudience at any time.
  2. The user is prohibited from using his account for commercial purposes and in particular for advertising purposes.
  3. The user undertakes to use the services of vAudience only for the contractually permissible purposes and not to violate any third party rights or to violate legal regulations.
  4. The user hereby acknowledges that he is receiving a non-exclusive and non-sub-licensable license to virtual goods that are made available to him free of charge or that he purchases using virtual currency for the duration of the user agreement.
  5. The user bears sole responsibility for his communication with other users via the services of Spect8.



Section 5 Blocking Users, Termination

  1. vAudience can block a user’s user account if this user violates the terms and conditions or other applicable laws.
  2. vAudience can in particular block a user if the user violates the rights of third parties, misuses the services of vAudience or if there are other important reasons for this.
  3. The user agreement can be terminated at any time without observing a notice period and the user account can be deleted at any time.
  4. If vAudience blocks or terminates a user’s account, that user has no right to register again.



Section 6 Availability of the Platform

vAudience assumes no liability for claims that arise from the fact that the Internet platform is temporarily unavailable for users, in particular due to maintenance work, provided that the total downtime does not exceed 1% of a year per calendar year and in cases of longer downtimes, neither intent there is still gross negligence.



Section 7 Final Provisions

Contracts are only concluded in English. Should one or more provisions of these terms of use be wholly or partially ineffective, this shall not affect the validity of the remaining provisions.
